Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AgentIQ Forge, including the website at app.agentiqforge.com, the AgentIQ Forge workspace and any related services (together, the “Service”). “AgentIQ Forge”, “we”, “us” and “our” refer to the operator of the Service. “You” means the person accepting these Terms and, where applicable, the business you represent.

By creating an account, starting a subscription or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is a business tool. You may use it only for business or professional purposes and only if you are at least 18 years old and able to enter into a binding contract.

If you accept these Terms on behalf of a company or other organisation, you confirm that you are authorised to bind it, and “you” includes that organisation.

• Give accurate information when you sign up, and keep it up to date.
• Keep your password confidential and do not share your login. You are responsible for activity under your account.
• Each user needs their own login. The number of users depends on your plan.
• Editors on your workspace can run AI actions, approve drafts and activate campaigns; Viewers can see the workspace. You are responsible for who you give access to.
• Tell us promptly at support@agentiqforge.com if you believe your account has been accessed without permission.

The Service is offered on monthly subscription plans priced in US dollars. The current plans are:

• Starter — $49 per month, 2,000 AI Credits per billing cycle, 1 user, 1 active campaign.
• Growth — $99 per month, 5,000 AI Credits per billing cycle, up to 3 users, up to 5 active campaigns, and priority support.

Plan details are listed on our pricing page. Applicable taxes may be added at checkout. Some capabilities are delivered with help from the AgentIQ Forge team rather than in the self-serve workspace; we will tell you when that is the case.

Subscriptions are billed in advance, once per monthly billing cycle, starting on the day your first payment succeeds. By subscribing, you authorise us, through our payment processor, to charge the payment method you provide for each billing cycle until your subscription is cancelled.

Payments are processed by Razorpay. Your card or other payment details are entered on Razorpay’s secure checkout and are handled by Razorpay under its own terms and privacy policy; AgentIQ Forge does not receive or store your full card number. Your workspace is activated only after the payment has been confirmed to our servers.

Your subscription renews automatically at the end of each billing cycle at the then-current price for your plan, unless you cancel before the renewal date.

If we change the price of your plan, we will give you notice before the change applies to your subscription. If you do not agree to the new price, you can cancel before it takes effect.

You can cancel your subscription at any time by emailing support@agentiqforge.com from the email address on your account. Cancellation stops future renewals. Unless we agree otherwise, your access continues until the end of the billing cycle you have already paid for.

Cancelling does not automatically delete your workspace data. If you want your data deleted, ask us — see our Privacy Policy.

If a renewal payment fails, Razorpay may retry it. While a payment is overdue, your workspace remains viewable but new AI actions are paused. If the payment is not completed within a reasonable time, we may suspend or end the subscription. Your data is not deleted because a payment failed.

Except where required by applicable law, fees already paid are non-refundable, and we do not provide refunds or credits for partial billing cycles, unused AI Credits or unused features. If you believe you were charged in error, email support@agentiqforge.com and we will review it. Any refund we choose to give in a particular case does not create an obligation to give refunds in other cases.

• AI Credits are the unit used to run AI actions in the Service, such as generating an intelligence report, an ICP, a campaign draft or a set of LinkedIn searches. The workspace shows the credit cost of an action before it runs.
• Each paid billing cycle adds your plan’s included AI Credits to your workspace balance. Unused credits can be used while your subscription is active.
• If an AI action does not complete, the credits reserved for it are returned automatically.
• AI Credits have no cash value, cannot be sold, transferred or exchanged for money, and are not refundable. They can only be used while your subscription is active.
• We may change the credit cost of actions or how credits work. Changes apply going forward and do not reduce credits already in your balance.

You agree to use the Service lawfully and responsibly. In particular, you are responsible for:

• the messages you send to prospects and how you send them — the Service prepares outreach, but you review it and send it yourself;
• complying with laws that apply to your outreach and marketing, including anti-spam, consumer-protection and data-protection laws;
• having a lawful basis to collect and use any personal data you add to the Service, including information about prospects;
• following the terms of any third-party platform you use alongside the Service, such as LinkedIn.

You must not:

• use the Service to send spam, harass anyone, or create misleading, defamatory, discriminatory or unlawful content;
• upload content you do not have the right to use, or content that infringes anyone’s rights;
• try to access another customer’s workspace or data, or probe, scan or test the Service’s security without our written permission;
• interfere with or overload the Service, or work around usage limits, credit controls or access restrictions;
• scrape, copy or resell the Service, or use it to build a competing product;
• reverse engineer the Service except where the law expressly allows it;
• share your login or let people outside your plan’s user limit use your account.

“Customer Data” means the information you and your users put into the Service — for example your company details, offer, target market, prospect information and campaign inputs — and the outputs generated for your workspace. You keep all rights to your Customer Data.

You give us permission to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service, including sending it to the service providers described in our Privacy Policy. We do not sell Customer Data. Each workspace is isolated, and we do not use one customer’s Customer Data in another customer’s workspace.

You are responsible for the accuracy and legality of the Customer Data you provide.

The Service uses third-party AI models to generate drafts such as research summaries, ideal customer profiles, campaign copy and LinkedIn search strategies. AI output can be incomplete, inaccurate or out of date, and similar inputs can produce different results.

• Outputs are drafts. Review them before you rely on them or send anything based on them.
• Outputs are not legal, financial or other professional advice.
• We do not guarantee any business result, such as replies, meetings, pipeline or revenue.
• Subject to these Terms, you may use the outputs generated for your workspace for your business.

The Service works with third-party services, including Razorpay for payments, Google Sheets for your workspace spreadsheet, and AI and infrastructure providers. Your use of a third-party service is governed by that provider’s terms, and we are not responsible for third-party services we do not control.

LinkedIn and other platforms. AgentIQ Forge does not log in to LinkedIn, automate actions on LinkedIn or send messages on your behalf. LinkedIn search links and message drafts are provided for you to use yourself. You are solely responsible for complying with LinkedIn’s terms and any other platform’s rules when you use them.

We and our licensors own the Service, including its software, design, templates, workflows and branding. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.

Each party may receive non-public information from the other. Each party will use the other’s confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, already known to the recipient, independently developed, or lawfully received from someone else, or where disclosure is required by law.

We work to keep the Service available and reliable, but we do not promise that it will be uninterrupted or error-free. The Service may be unavailable during maintenance, updates or events outside our control, and it depends on third-party providers.

We may change, improve or remove features over time. If we remove a core feature of your plan, we will give you reasonable notice.

Features we label as beta, preview or experimental are provided as they are, may change or be withdrawn, and may be less reliable than the rest of the Service.

We may suspend or terminate your access if you materially breach these Terms, fail to pay, use the Service in a way that creates legal or security risk, or if we are required to by law. Where reasonable, we will give you notice and a chance to fix the problem first.

You may stop using the Service and cancel at any time. Sections that by their nature should continue after termination — including fees owed, refunds, disclaimers, limitation of liability and indemnity — continue to apply.

To the fullest extent permitted by law, the Service and all outputs are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

To the fullest extent permitted by law:

• neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, even if advised of the possibility;
• our total liability arising out of or relating to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You will defend and indemnify AgentIQ Forge against third-party claims, and related losses and reasonable costs, arising from your Customer Data, your outreach or other use of the Service, or your breach of these Terms or of applicable law.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you by email or in the Service before the changes take effect. If you continue to use the Service after the changes take effect, the updated Terms apply. If you do not agree, you can cancel your subscription.

If you have a concern, please contact us first at support@agentiqforge.com so we can try to resolve it informally. These Terms are governed by the laws that apply where AgentIQ Forge’s operating business is established, without regard to conflict-of-laws rules, and nothing in them removes rights you have under mandatory law where you are located.

These Terms, together with our Privacy Policy and any order or plan details you accept, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganisation, merger or sale of the business. Neither party is responsible for delays caused by events beyond its reasonable control.
